Government Affairs Department
VML's Government Affairs Department is prepared to assist and represent clients before any and all public authorities, either direct or indirectly, be it in the consultative sphere, be it in judicial proceedings related to public bids or administrative contracts, including providing guidance on gathering documentation; accompanying public hearings; preparing administrative appeals; requesting contractual amendments; and other related activities.

Dispute Resolution Department
The Dispute Resolution Department of VML acts in arbitration, mediation, conciliation, and litigation issues, be it administrative or judicial, in several areas of the law.
The Dispute Resolution Department frequently acts in cooperation with the other specialized departments of VML, providing our clients with complete and creative solutions, even in the most complex cases.
Department of Contractual Issues
The Department of Contractual Issues is responsible for the review and preparation of contracts and agreements, always with a view that is both discerning and focused on a business perspective, with a profound awareness of the client's activities and needs, allowing for better assistance in the elaboration, negotiation and execution of contracts in general, including purchase and sale or supply of goods and services, leases, commercial representation, distribution, manufacturing, transport, loan and financing, commodate, assignment of rights, franchises, partnerships, among others.
In cases that encompass the specific areas of the other departments, the Department of Contractual Issues works together with its colleagues, in a flawless and synchronized manner.
Department of Labor Issues
The Department of Labor Issues provides VML’s clients with comprehensive legal assistance related to Labor Laws, either in the litigation sphere, together with the Dispute Resolution Department, or in consultative cases, by preparing reports, legal opinions, labor agreements and due diligence.
Aerospace Law Department
The Aerospace Department provides legal assistant in the specialized and strictly controlled area of aviation and airspace. This Department is equipped to assist investors, Brazilian and foreign cargo and passenger companies, public authorities, air-taxi operators, owners of aircraft and providers of services and logistics, as well as any other entity or individual engaged in aerial operations. The Sports Law Department
The Sports law Department of VML provides a wide variety of legal services to professional and amateur athletes, agents, suppliers, sponsors, business partners, associations, clubs, schools, and to all parties engaged in sports’ activities. In addition, VML being a law firm with national and international activities, is in the unique position to offer to our clients legal services that can be tailored to their needs, including labor issues, career support, the defense of athletes before specialized courts, assistance in negotiations and elaboration of agreements and contracts of marketing and sponsorship, use of image and representation and assistance to amateur athletes seeking to become professionals.
The Department also renders services in preparing agreements and transferring of athletes, be it in Brazil or abroad.
Corporate and Business Development Department
The Corporate and Business Development Department is responsible for assisting and advising national and foreign clients, individuals, as well as small, medium and large-scale companies in structuring new investments and incorporation of companies in Brazil and also in corporate reorganization and tax planning in transactions involving spin-offs, mergers, acquisitions and amalgation of companies.
Traditionally, this department distinguishes itself for in advising clients in selecting the best legal structure to accommodate their needs and in preparing the respective corporate documents, including articles of association, by-laws, shareholders’ agreements, consortium contract, minutes of meetings of shareholders and quotaholders, amendments to articles of association and joint-ventures in general, as well as providing legal assistance in the registration of foreign investments before the Brazilian Central Bank.
This department is also responsible for operations of merger and acquisition, including the tax planning for the operation and the performance of legal due diligence. This department also provides legal assistance in the antitrust area and in the submission of acts of concentration before public authorities.
In addition, the department provides assistance to clients in project finance, including advice on IPO and securitization in Brazil and abroad, through the Sao Paulo, London and New York Stock Exchanges.
The department also assists VML’s clients in applying for temporary and permanent visas in Brazil.
Real Estate Department
The Real Estate Department assists clients in many areas related to real estate law, working not just in cases of purchase, sale, lease and regularization of rural and urban properties, but also including a strong practice in planning and structuring complex activities as securitization of receivables and incorporation of real estate investment funds, as well as providing guidance in real estate incorporation and in the foundation and elaboration of condominium by-laws.
Tax Department
The Tax Department acts in consultative and litigation issues relating to tax and contributions applicable in Brazil and abroad, as well as transfer pricing.
The Department also renders services related to the analysis and review of tax procedures adopted by companies in order to offer legal solutions that, within the bounds of the law, may lead companies to reduce their tax burden, through the combination of technical knowledge of the applicable tax rules and the logistic of the business activities.
Using such concept of tax logistic, the Department is outfitted to prepare legal memoranda and opinions regarding the best tax procedures to be adopted in order to offer to its clients a better and more efficient operational scenario, enabling the reduction of the operational costs, by optimizing of tax and accounting procedures.
Together with the Corporate Department, the Tax Department is also responsible for the tax planning of transactions of merger and acquisition.
Internationally, the Department has experience in assisting clients in the structuring of tax and estate planning, avoiding the double taxation of business activities in several different countries.
International Trade Department.
The International Trade Department renders services to companies engaged in international business trade. It’s services include guiding VML's clients on the utilization of the rules applicable to international transactions seeking to create new business opportunities. This Department also provides assistance to VML’s clients in transactions related to import and export of goods and all bureaucratic issues associated with the clearance of the same. The Department is highly specialized in providing analysis and advice on matters involving customs' regulation, as well as in assisting clients in administrative procedures related to dumping and subsidies. |
