How to Incorporate a WFOE in China

As a seasoned law firm based in Shanghai, we are dedicated to one stop services for overseas investors to do busienss in China. Inter alia, we help foreign investors incorporate WFOE in Shanghai. Please see below the standard process and required documents to set up a WFOE.

Step 1. Application to AIC for the name of the WFOE to be registered.
        Required Documents:
        a. Application Form
           (Stamped by the investor/parent company).
        b. Power of attorney for company registration.
           (Stamped by the investor/parent company).
        c. A copy of the attorney's ID card.
       
Step 2. To apply to the Commission of Commerce for approval of establishment of WFOE.
        Required Documents:
        a. Application Form
           (Stamped by the investor/parent company).
        b. Power of attorney for acceptance of legal documents. 
        c. Pre-approval Notice of the company name
        d. Article of Association
           (stamped by the investor/parent company).
        e. Certificate of establishment of the investor (parent company)
           (Notarized and Legalized)
        f. Credit Certificate issued by the bank of the parent company.
        g. Legal Representative, Director and Supervisor Appointment.
        h. Certificate for the right of use of the domicile.
        i. Other documents as requested by Commission of Commerce.

Step 3 Application for Business License
        Required Documents:
        a. Application Form for Establishment Registration of the Foreign-Invested Company.
          (Signed by the legal representative of the WFOE)
        b. Approval documents issued by Commission of Commerce.
        c. Articles of Association.
        d. Pre-approval Notice of the company name.
        e. Certificate of establishment of the investor (parent company)
           (Notarized and Legalized)
        f. Appointment documents for legal representative, directors, supervisors and General manager.
        g. Certificate for the right of use of the domicile.
        h. Power of attorney for acceptance of legal documents.
        i. Other documents as requested by AIC.

Step 4 To apply to the police for company stamp.
Step 5 To apply for Organization Code Certificate.
Step 6 To register in taxation bureau.
Step 7 To open bank account.
Step 8 To register in SAFE.
Step 9 To apply for work permit and residence permit for Polish staff.
