Circular on Starting the Use of the Business License for Foreign-invested Partnership Enterprise and the Business License for Foreign-invested Partnership Enterprise Branch

The Administrative Measures for the Establishment of Partnership Enterprises within China by Foreign Enterprises or Individuals (hereinafter referred to as the Administrative Measures) promulgated by the State Council will enter into force on Mar.1, 2010. For the purpose of implementing the Administrative Measures, in accordance with the relevant provisions of the Partnership Law, the Administrative Measures for the Registration of Partnership Enterprises, the Administrative Measures and the Administrative Measures for the Registration of Foreign-invested Partnership Enterprises, State Administration for Industry & Commerce has laid down the Business License for Foreign-invested Partnership Enterprise (hereinafter referred to as the Business License and the Business License for Foreign-invested Partnership Enterprise Branch (hereinafter referred to the License for Branch), which shall come into force on Mar.1, 2010. The relevant issues are hereby notified as follows:

I.  Forms of the Business License and the License for Branch

1. The Business License and the License for Branch include one original and one duplicate respectively. The original is a hanging one, 420mm*297mm and the duplicate is a folding one, 210mm*297mm. Each of them has a jasper plastic cover.

2. The original Business License is printed with the design of the national emblem of the People’s Republic of China, the name of the license, registration items, notices, the characters of “prepared by the State Administration for Industry & Commerce of the People’s Republic of China” and the fake-proof mark. The duplicate of the Business License and the original and duplicate of the License for Branch are printed with the same text while without the design of the national emblem.

II. Contents of the Business License and the License for Branch

1.The original and duplicate of the Business License are both printed with characters of “Business License for Foreign-invested Partnership Enterprise” and indicate the following registration items: the registration number, the name, the major business place, executive partners, the business scope, partners, the term, the date of establishment, the registration agency, the issuing date (YY/MM/DD) and notices.

2.The original and duplicate of the License for Branch are both printed with characters of “Business License for Foreign-invested Partnership Enterprise Branch” and indicate the following registration items: the registration number, the name, the business place, the principal, the business scope, the date of establishment, the registration agency, the issuing date (YY/MM/DD) and notices.

3.The originals and duplicates of the Business License and the License for Branch are both printed with characters of “prepared by the State Administration for Industry & Commerce of the People’s Republic of China”.

III. Format and Preparation of Licenses

1. The formats of the Business License and the License for Branch are formulated and promulgated by the State Administration for Industry & Commerce.

2. The Business License and the License for Branch are prepared and printed by the State Administration for Industry & Commerce.
